Terms & Conditions of Service

These Terms & Conditions (“Terms”) govern the relationship between YCWH (“the Company”) and the customer (“the Client”) for the provision of warehousing, storage, and delivery services. By instructing YCWH to perform services, the Client agrees to be bound by these Terms.
1. Definitions

“Goods” means any items, pallets, or parcels handled or stored by the Company on behalf of the Client.

“Services” means the warehousing, storage, and road delivery services provided by the Company.
2. Quotations and Booking

All quotations are valid for 30 days unless otherwise stated.

The Company reserves the right to adjust prices if the nature of the Goods or the scope of the delivery changes from the original description provided by the Client.
3. Client Obligations & Warranties
The Client warrants that:

All Goods are safely and properly packed and labeled for transport and storage.

The Goods do not contain hazardous, illegal, or dangerous substances unless specifically agreed upon in writing.

They are either the owner of the Goods or have the owner’s authority to contract with the Company.
4. Limitation of Liability
Logistics involves inherent risks. YCWH limits its liability as follows:

Transit: Our liability for loss or damage during transit is limited to a set rate per tonne (standard industry practice) or the actual value of the goods, whichever is lower, unless an “All Risks” insurance level is agreed upon in writing.

Warehousing: Liability for goods in storage is limited to physical damage caused by the Company’s negligence.

Indirect Loss: The Company shall not be liable for any indirect or consequential loss, such as loss of profit, business interruption, or market fluctuation.
Recommendation: We strongly advise Clients to maintain their own insurance for high-value Goods while in transit or storage.
5. Payments and Fees

Standard Terms: All invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

Late Interest: We reserve the right to charge interest on overdue payments at a rate of 8% above the Bank of England base rate.

Lien: The Company shall have a general lien on all Goods in its possession for any monies due from the Client. This means we may retain your Goods until outstanding invoices are settled.
6. Delivery and Collection

Delivery times are estimates and not guaranteed, although we strive for 100% on-time performance.

If a delivery fails because the recipient is not available or access is restricted, the Client will be responsible for re-delivery or return-to-base charges.
7. Termination (Storage)
Either party may terminate a storage agreement by providing 7 days’ written notice. All outstanding fees must be paid before Goods are released for collection.
8. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
